Terms of Service

By purchasing a license or using any A Bansal Solutions software, you agree to these Terms. Please read them carefully. Questions? Email hello@abansalsolutions.com.

1. Parties

"A Bansal Solutions" ("we", "us") is a software studio registered in India. "You" or "Customer" means the individual or organisation purchasing a license or commissioning custom development.

2. License grant — catalog products

Subject to payment and these Terms, we grant you a non-exclusive, non-transferable (except as described in §3) license to:

Perpetual licenses: use the licensed software on the permitted number of devices, indefinitely.
Subscription licenses: use the software for the subscription period. Access ends if the subscription lapses.
Hosted/SaaS deployments: access the hosted service. We may update or discontinue the service with 90 days' notice.

Licenses are device-bound using cryptographic machine IDs. One free device transfer is included per year per license (see FAQ).

3. Restrictions

You may not:

Reverse-engineer, decompile, or disassemble the software (except where permitted by applicable law).
Remove, alter, or circumvent license protection, HMAC signatures, or copy-protection mechanisms.
Sub-license, resell, rent, or distribute the software to third parties without our written consent.
Use the software in any manner that violates applicable laws, including export controls.
Attempt to defeat rate limiting or abuse the license activation API.

4. Custom development projects

For bespoke commissions:

Ownership: upon full payment, all intellectual property in the deliverables transfers to you. We retain no license to your codebase.
Payments: typically structured as 30% deposit, 40% at mid-point milestone, 30% on final delivery. Failure to pay within 14 days of invoice suspends our obligations.
Scope changes: changes to agreed scope will be quoted separately in writing before implementation.
Third-party components: open-source libraries remain under their respective licenses (MIT, Apache 2.0 etc.). We will disclose all dependencies at handover.

5. Refund policy

See the full Refund Policy. In summary: 7-day full refund on catalog licenses if the key has not been activated. No refunds on activated licenses. Custom development deposits are non-refundable once work has commenced, but milestone payments are refundable if we miss a milestone.

6. GST & invoicing

All prices on the website are inclusive of applicable Indian GST (18% on digital services). GST invoices are available on request. International customers outside India are charged without GST under the export of services provisions.

7. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of liability

IN NO EVENT WILL A BANSAL SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE OR SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRIOR TO THE CLAIM.

9. Governing law & jurisdiction

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in India. For EU consumers, mandatory local consumer-protection laws take precedence.

10. Updates to these Terms

We may update these Terms. Continued use after 30 days' notice constitutes acceptance. Material changes will be emailed to registered customers.
